Ms. Yue Cao, Esq. is the founder and owner of Law Office of Yue &Associates, P.C. (“Y&A”). Ms. Cao has broad knowledge and extensive experience in wide-ranging corporate practice with an emphasis on representing clients in business formations, corporate governance initiatives, venture capital transactions, mergers and acquisitions, and company fundraising through public and private equity, and debt financing. She has counseled companies in a diverse range of sectors and industries such as agriculture, digital media, biotech, medicine, mining, manufacturing, retail, and wholesale.

Ms. Cao has advised private company clients to initiate their business operations in the States, including the business formation of C-corps, S-corps, LLCs and LLPs. She also has additional experience in preparing a wide range of documentation including; prepared stock purchase agreements, asset acquisition agreements, investment and shareholders rights agreement, mergers and acquisition transactions, employment agreements, and general business contracts.

Ms. Cao has advised small and mid-sized domestic and international clients on ongoing corporate services, including initial public offerings (IPO) and private placements, reverse mergers, NYSE and NASDAQ initial listings, public company compliance work (SEC filings and Sarbanes-Oxley Act compliance), as well as over-the-counter markets, such as the OTCBB, OTCQB, OTCQX, and the OTCPink Marketplace.

Ms. Cao started her career with the New York office of international law firm, DLA Piper. She previously worked as a Partner with the New York office of a boutique law firm, Eaton & Van Winkle LLP, and worked as Special Counsel in charge of China Practice with the New York office of an international law firm, Katten Muchin Rosenman LLP.

Ms. Cao graduated from Tsinghua University (A.B.) and Cornell University School of Law (LL.M.).
